It records that money is being credited back: because goods were returned, an order was cancelled, a price was corrected, or a service was not delivered as agreed. The credit note references the original invoice number, so both documents together keep the accounts honest: the invoice says what was charged, the credit note says what was taken back.

Can a credit note be negative or exceed the invoice?

A credit note can credit part or all of an invoice, but it should never exceed the invoiced amount for the items it references; that would create money out of a correction. For goodwill gestures beyond an invoice value, businesses usually issue a separate voucher or discount on the next invoice rather than an oversized credit note. Keep one credit note per original invoice whenever you can, so matching them later takes seconds.
